We are building lean, execution-focused corporate functions to support commercial operations, regulatory compliance, and foundational governance across Europe (including the Middle East). This role supports the ongoing legal needs of OCF’s European entities in a complex, multi-jurisdiction environment.
About the Role
The Corporate Counsel – Europe provides hands-on legal support across commercial contracting, corporate legal execution, and regulatory and compliance matters. This role partners closely with regional commercial leadership and corporate functions to assess and manage legal risk, support informed decision-making, and enable efficient business operations, while coordinating with external counsel where specialized expertise is required.
Key Responsibilities
Commercial & Corporate Legal Support
Support sourcing and commercial teams with contracts including customer, supplier, logistics, services, technology, and outsourcing agreements
Partner with commercial and procurement teams on negotiations, deal execution, and issue resolution
Maintain and enhance contract templates, playbooks, and contracting processes
Conduct risk assessments and provide mitigation options to support decision-making
Advise on legal, regulatory, and ethical risks while proposing practical solutions
Train and support colleagues on contracts, legal principles, and risk awareness
Corporate, Regulatory & Compliance Support
Support corporate governance, legal entity management, and statutory compliance across EU entities
Partner with Finance, Tax, and Audit on regulatory and compliance matters
Identify EU regulatory requirements and escalate matters when external counsel is required
Translate regulatory obligations into practical business guidance
Support internal investigations (including Code of Conduct matters) with proper process and documentation
Oversee insurance-related legal matters in coordination with Finance
Trade Defense & EU Advocacy
Support EU trade defense matters including anti-dumping, anti-subsidy, and safeguard cases
Coordinate with industry associations, external counsel, and internal stakeholders
Advise leadership on commercial and operational impacts of trade defense actions
Monitor EU trade policy and flag risks and opportunities
External Counsel Management
Determine when external counsel is required
Manage external legal counsel across EU jurisdictions (scope, cost, and quality)
Track and manage legal spend and external legal budget
Qualifications & Requirements
Master’s degree in law from an accredited European university; qualified to practice in at least one EU jurisdiction
4–6 years of experience in law firm and/or in-house legal roles
Strong experience in commercial contracts, corporate law, and trade defense in Europe
Working knowledge of EU regulatory frameworks (e.g., GDPR, competition, trade)
Fluent in English; additional European languages preferred
